By creating an account or using the Tallied platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. These Terms constitute a binding agreement between you and Tallied (Pty) Ltd.
Tallied (Pty) Ltd provides a governance platform for boards, trustees and committees, including tools for voting, motion management, document analysis, member management and announcements. The Service is a decision-support tool only. Features, availability and pricing are subject to change with notice as described in these Terms.
You are responsible for maintaining the security of your account credentials. You must notify us immediately at support@tallied.work if you suspect unauthorised access. You must not share login credentials with individuals outside your board or committee. You are responsible for all activity that occurs under your account, including actions taken by others to whom you have granted access.
You may use the Service only for lawful governance purposes consistent with applicable law and the rules of your scheme or organisation. You must not:
We reserve the right to remove content or suspend access where we reasonably believe a violation has occurred.
The Service is billed monthly at R50 per active seat, with a R200 monthly minimum. Seats added mid-month are pro-rated to the end of the billing month. Invoices are issued electronically and payable within 30 days of the invoice date. There are no setup fees or credit card requirements. Overdue accounts may be suspended after written notice. We reserve the right to adjust pricing with at least 30 days' written notice to account administrators.
You may cancel your account at any time directly within the platform from your account settings. Cancellation takes effect at the end of the current billing month. A final invoice will be issued for any outstanding amount in the current billing period. No refunds are issued for partial months already invoiced. After cancellation your data is retained for 90 days, during which you may contact us at support@tallied.work to arrange a data export. After 90 days, your data is permanently deleted from our systems.
We may suspend or terminate your access to the Service immediately and without prior notice if we determine that you have breached these Terms, if your account is overdue by more than 30 days after written notice, or if continued operation of your account poses a risk to other users or the platform. Upon termination for breach, your data will still be retained for 90 days in accordance with section 6. We will not be liable for any loss arising from a suspension or termination carried out in good faith under this section.
The AI document analysis feature is provided as a decision-support convenience tool and not as a substitute for professional advice. To deliver this feature, text extracted from your uploaded documents is transmitted to a third-party AI provider (OpenRouter). AI outputs are generated by automated systems and may contain inaccuracies, omissions or misinterpretations. You must independently verify all AI-generated outputs against source documents before relying on them or taking any action. Tallied makes no warranty as to the accuracy, completeness or suitability of AI-generated analysis. Before viewing AI-generated reports, you will be required to acknowledge a more detailed AI disclaimer within the platform.
You retain ownership of all data and documents you upload to the Service. By uploading content, you grant Tallied (Pty) Ltd a limited, non-exclusive, royalty-free licence to store and process that content solely to provide the services described in these Terms and our Privacy Policy. We do not use your content to train AI models or share it with third parties except as described in our Privacy Policy.
The Tallied platform, including its design, software, trademarks and branding, is owned by Tallied (Pty) Ltd and protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to use the Service for its intended purpose during your subscription. You may not copy, modify, distribute or create derivative works from any part of the platform without prior written consent.
To the maximum extent permitted by applicable law, Tallied (Pty) Ltd is not liable for any indirect, incidental, special, consequential or punitive damages arising from your use of the Service, including but not limited to loss of data, loss of revenue or loss arising from reliance on AI-generated outputs. Our total aggregate liability for any claim arising under or in connection with these Terms shall not exceed the total fees you paid us in the three months immediately preceding the claim.
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or uninterrupted availability. We do not warrant that the Service will be error-free or that defects will be corrected within any specific timeframe.
These Terms are governed by and construed in accordance with the laws of the Republic of South Africa. Any disputes arising from these Terms or your use of the Service will be subject to the exclusive jurisdiction of the courts of South Africa. If you are located in another jurisdiction, nothing in these Terms limits any mandatory consumer rights you may have under local law.
We may update these Terms from time to time. Significant changes will be communicated to account administrators by email with at least 14 days' notice before the changes take effect. Continued use of the Service after the notice period constitutes your acceptance of the updated Terms. The current version of these Terms is always available at this page.
